1. Scope and Agreement
1.1 These Terms of Service (“Terms”) govern access to and use of the Orchesi software platform and related services (the “Service”).
1.2 By creating an account or using the Service, you (“User”) agree to these Terms.
1.3 If you use the Service on behalf of an association or organisation (“Association”), you confirm that you are authorised to bind that Association.
1.4 If you do not agree to these Terms, you must not use the Service.
2. Consumer and Business Use
2.1 By default, Users are treated as consumers under Dutch and EU consumer law.
2.2 If an Association provides a valid VAT number during subscription or account setup, the Association is treated as a business customer (B2B).
2.3 Consumer protection rules apply only where mandatory by law and do not apply to business customers to the extent permitted by law.
3. Description of the Service
3.1 Orchesi provides digital tools for communication, planning, scheduling, member management, and media sharing for music associations and similar groups.
3.2 Features may vary depending on the selected subscription plan.
3.3 Orchesi may update, modify, or improve the Service from time to time.
4. Accounts and Security
4.1 Users must provide accurate, complete, and up-to-date information.
4.2 Users are responsible for all activity that occurs under their account.
4.3 Login credentials must be kept confidential and may not be shared.
4.4 Orchesi may suspend or restrict access if there are reasonable grounds to suspect misuse, security risks, or violations of these Terms.
5. Associations and Roles
5.1 Users may create or join an Association within the Service.
5.2 The creator of an Association becomes the administrator (“Admin”).
5.3 Admins manage members, permissions, and content and confirm they are authorised to do so on behalf of the Association.
6. Trial, Subscriptions, and Billing
6.1 Orchesi offers a three (3) month free trial.
6.2 After the trial period, a paid subscription is required to continue using paid features.
6.3 No refunds are provided for paid subscriptions, except where mandatory by law.
6.4 Subscriptions renew automatically unless cancelled before the renewal date.
6.5 Payments are processed via Stripe, with Orchesi acting as Merchant of Record.
7. Seat-Based Pricing (Active Members)
7.1 Subscription pricing may be based on the number of active members in an Association.
7.2 An active member is a user who:
- has accepted an invitation, and
- appears in the Association’s member list.
7.3 Admins are responsible for maintaining accurate member lists.
7.4 Charges are calculated based on the number of active members at the time of billing or renewal.
8. Acceptable Use
Users must not:
- use the Service unlawfully or in violation of applicable regulations
- access the Service through automated means (including scraping or bots)
- reverse engineer, interfere with, or disrupt the Service
- upload malware or harmful code
- misuse personal data or infringe privacy rights
- impersonate others or misrepresent authority
9. User Content and Media Uploads
9.1 Users may upload content, including photos and PDF files (“User Content”).
9.2 Users retain ownership of their User Content.
9.3 Users grant Orchesi a non-exclusive, worldwide licence to host, store, process, and display User Content solely for the purpose of providing the Service.
9.4 Users are responsible for ensuring they have the legal right to upload and share User Content.
9.5 Orchesi does not actively monitor User Content but reserves the right to remove content at its discretion, including content that:
- is unlawful
- infringes third-party rights
- is offensive, inappropriate, or disruptive
9.6 Orchesi may suspend or terminate accounts in case of repeated or serious violations.
10. Privacy and Data Protection
10.1 Orchesi processes personal data in accordance with the GDPR and its Privacy Policy.
10.2 Associations are responsible for ensuring a lawful basis for processing personal data of their members.
10.3 Where applicable, Orchesi acts as a data processor for Associations.
11. Data Access, Portability, and Deletion
11.1 During an active subscription, Users may access their data through the Service.
11.2 Orchesi does not provide general data export functionality.
11.3 After termination of the account or subscription, data will be deleted within 30 days, unless longer retention is required by law.
11.4 Data portability requests under Article 20 GDPR are handled only upon explicit request and are limited to the personal data that must legally be provided.
12. Availability and Support
12.1 The Service is provided on a best-effort basis.
12.2 Orchesi does not guarantee uninterrupted availability or error-free operation.
12.3 Maintenance, updates, and temporary downtime may occur.
13. Suspension and Termination
13.1 Users may cancel subscriptions at any time, with effect at the end of the current billing period.
13.2 Orchesi may suspend or terminate access in case of breach of these Terms or non-payment.
13.3 Upon termination, access to the Service ends immediately.
14. Liability
14.1 To the maximum extent permitted by law, Orchesi is not liable for indirect damages, including loss of data or loss of profit.
14.2 Orchesi’s total liability is limited to the fees paid for the Service during the twelve (12) months preceding the claim, unless liability cannot be limited by law.
15. Governing Law and Jurisdiction
15.1 These Terms are governed by the laws of the Netherlands.
15.2 Any disputes shall be submitted exclusively to the competent court in Maastricht, the Netherlands, unless mandatory law provides otherwise.
16. Final Provisions
16.1 If any provision of these Terms is held invalid, the remaining provisions remain in force.
16.2 Orchesi may amend these Terms with reasonable notice.
16.3 These Terms constitute the entire agreement between the parties regarding the Service.
